TERMS OF SERVICE

1. Acceptance of Terms

By engaging with Dapper Design Studios LLC ("Company," "we," "our," or "us"), accessing our website, purchasing services, or entering into a client agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

2. Services Offered

Dapper Design Studios LLC provides creative and marketing services including, but not limited to:

• Logo Design

• Brand Identity Development

• Website Design

• Graphic Design

• Print Design

• Copywriting

• Marketing Materials

• Digital Content Creation

• Consulting Services

All services are provided according to the scope outlined in each project proposal, estimate, invoice, or service agreement.

3. Right to Refuse Service

Dapper Design Studios LLC reserves the right to refuse, suspend, or terminate service to any individual, organization, or business at our sole discretion and in accordance with applicable federal and state laws.

This includes, but is not limited to:

• Requests that violate the law.

• Projects involving fraudulent or deceptive practices.

• Harassment, abuse, threats, or inappropriate conduct toward our staff.

• Requests that conflict with our business values, beliefs, creative standards, or professional judgment.

• Failure to comply with agreed payment terms.

Nothing in these Terms shall be interpreted as waiving any rights protected under the United States Constitution or applicable state and federal laws.

4. Estimates and Pricing

All estimates provided by Dapper Design Studios LLC are based on the information available at the time of quotation.

Additional work requested beyond the original project scope may result in additional charges.

Prices are subject to change until a formal agreement has been accepted.

5. Payments

Unless otherwise stated:

• Invoices are due upon receipt.

• Deposits may be required before work begins.

• Final deliverables will not be released until all outstanding balances have been paid.

• Late payments may incur fees permitted under applicable law.

Failure to make payment may result in project delays, suspension, or termination.

6. Project Changes and Revisions

Clients are entitled only to the revisions outlined within their selected package or agreement.

Additional revisions, modifications, or scope changes may incur additional charges.

Any work requested outside the original project scope may require a revised estimate or separate agreement.

7. Cancellation

Either party may terminate a project at any time.

If a project is canceled:

• Deposits are non-refundable unless otherwise stated.

• The client shall pay for all completed work performed up to the cancellation date.

• Any outstanding balances become immediately due.

Dapper Design Studios LLC retains ownership of all unfinished work unless otherwise agreed in writing.

8. Intellectual Property

Client Ownership

Upon receipt of full payment, ownership of final approved deliverables may transfer to the client as specified in the project agreement.

Designer Rights

Dapper Design Studios LLC retains ownership of:

• Preliminary concepts

• Drafts

• Unused designs

• Working files

• Sketches

• Internal production materials

Unless otherwise agreed in writing.

9. Portfolio Rights

Dapper Design Studios LLC reserves the right to display completed work, project descriptions, and visual materials in:

• Portfolios

• Social media

• Marketing materials

• Award submissions

• Design competitions

• Promotional materials

Unless a separate confidentiality agreement has been executed.

10. Client Responsibilities

Clients agree to:

• Provide accurate information.

• Supply necessary content in a timely manner.

• Ensure they possess legal rights to any content submitted.

• Review and approve work within a reasonable timeframe.

Delays caused by the client may affect project timelines.

11. Client Content Warranty

Clients represent and warrant that all materials supplied to Dapper Design Studios LLC:

• Are owned by the client or properly licensed.

• Do not infringe upon third-party rights.

• Do not violate applicable laws.

The client agrees to indemnify and hold harmless Dapper Design Studios LLC from claims resulting from client-provided content.

12. Limitation of Liability

To the fullest extent permitted by law:

Dapper Design Studios LLC shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages arising from the use of our services.

Our maximum liability shall not exceed the amount paid by the client for the specific project giving rise to the claim.

13. No Guarantees

While we strive to provide excellent results, we do not guarantee:

• Sales increases

• Search engine rankings

• Advertising performance

• Business growth

• Customer acquisition

• Specific financial outcomes

Results depend on numerous factors beyond our control.

14. Governing Law

These Terms shall be governed by the laws of the State of North Carolina.

Any disputes arising under these Terms shall be resolved within the appropriate courts located in North Carolina.
